ALGOL GmbH and Argon & Co are merging. This strategic move will enable both companies to strengthen their expertise in transformation consulting and their market position in the long term. Luther Rechtsanwaltsgesellschaft mbH led the structuring and implementation of the transaction on behalf of ALGOL's owners.
The Germany-based consulting firm ALGOL supports extensive digital transformation programmes. Its client base includes both medium-sized companies and large listed corporations. As a result of the merger, ALGOL GmbH's clients will benefit from a significantly expanded service portfolio for demanding transformation projects in a wide range of industries – from SMEs to DAX-listed companies. ALGOL will also benefit from the international positioning and expertise of the Argon & Co Group. At the same time, Argon & Co is systematically expanding its own presence in the DACH region and consolidating its market position in a strategically important core market.
An experienced M&A team at Luther, led by Dr Thomas Halberkamp and Stefan Tolksdorf, provided strategic and legal advice to Benjamin Trümpler, founder and previous majority shareholder of ALGOL GmbH, throughout all phases of the transaction. Luther was primarily responsible for structuring the cross-border merger, coordinated the complex legal and tax issues and led the contract negotiations with Argon & Co. Thanks to integrated advice and rigorous negotiation, a viable and future-oriented transaction structure was implemented. With regard to the cross-border aspects, the team was supported by Fidal Avocats from France, a member of the unyer network.
